Sligro Food to acquire Rooswinkel's wholesale operations

Sligro Food Group N.V., Veghel, and Rooswinkel Horeca Groothandel B.V., Roermond, announce that they expect to reach agreement on the acquisition by Sligro of Rooswinkel’s wholesale activities. Rooswinkel generates most of its revenue from delivery-service operations, but also has a small cash-and carry section.

Rooswinkel’s sales in 2013 were over €30 million. Rooswinkel has around 120 full-time employees, who will transfer to Sligro Food Group. Rooswinkel serves mainly the restaurant, catering and institutional markets, which fits perfectly with Sligro Food Group’s foodservice operations. The parties have agreed not to disclose the purchase price. Sligro Food Group expects the acquisition to start contributing to the earnings per share in 2015. The focus in 2014 will be primarily on integration. The aim is to integrate Rooswinkel’s operations into Sligro Food Group’s existing infrastructure in the first half of 2014, mainly at the new delivery-service centre which was recently opened in Venray. The cash-and carry section will be integrated into the Sligro operation in Roermond. The acquisition is expected to increase Sligro Food Group’s share of the foodservice market by around 0.5%.

The employees’ organisation and the Social & Economic Council (SER) have been informed, in accordance with the SER’s Merger Code. Sligro Food Group’s Staff Council has been asked for its recommendation. The Netherlands Competition Authority will be notified of the transaction. The parties aim to formalise the transaction in February.

Sligro Food Group encompasses food retail and foodservice companies selling directly and indirectly to the entire Dutch food and beverages market.

Sligro’s Foodservice division operates as a wholesaler and its Food Retail division as both a wholesaler and retailer. Sligro Food Group strives to be a high-quality company achieving steady, managed growth for all its stakeholders. In 2012 it generated net profit of almost €70 million on sales of close to €2.5 billion, employing an average of over 5,800 full-time staff. Sligro Food Group shares are listed on Euronext Amsterdam.

Rooswinkel has been a full-range supplier to the small restaurant and catering market and seasonal businesses for over 40 years and has built a strong position in the south-east of the Netherlands. Rooswinkel’s businesses in Germany, Belgium, the Czech Republic, Africa and Hungary and its real-estate activities are not included in the deal. The existing premises, which are owned by Rooswinkel, will be redeveloped.

Patrick and Mickel Rooswinkel will join Sligro and will focus in the first instance on successfully integrating the acquisition into Sligro.
