Financial details of the deal have not been disclosed by both the companies.

Subject to customary closing conditions and regulatory approvals, as well as the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, the transaction is expected to be completed within the next four weeks.
